GOVERNING LAW

These Legal Terms are governed by the laws of Ukraine. Both parties consent to the exclusive jurisdiction of the courts in Ukraine to resolve any disputes that may arise in connection with these Legal Terms.

DISPUTE RESOLUTION

Informal Negotiations To expedite the resolution of any dispute, controversy, or claim arising from these Legal Terms (referred to as "Disputes"), both parties (referred to as "Parties") agree to initially attempt informal negotiations for a minimum of 365 days before initiating arbitration. These negotiations begin when one Party provides written notice to the other Party. Binding Arbitration Any dispute related to these Legal Terms, including its existence, validity, or termination, will be referred to and finally resolved by the The International Commercial Arbitration Court of Ukraine according to the ICAC Rules, which are considered part of this clause. The arbitration's seat or legal place will be Ukraine. The language used in the proceedings will be Urkanian. The governing law for these Legal Terms will be the substantive law of Ukraine. Restrictions The Parties agree that any arbitration will be limited to the individual Dispute between them. To the maximum extent permitted by law: (a) no arbitration will be combined with any other proceeding; (b) no Dispute can be arbitrated as a class-action or using class action procedures; and (c) no Dispute can be brought on behalf of the general public or any other individuals. Exceptions to Informal Negotiations and Arbitration The Parties acknowledge that certain Disputes are not subject to the above provisions on informal negotiations and binding arbitration. These exceptions include: (a) Disputes related to the enforcement, protection, or validity of any Party's intellectual property rights; (b) Disputes arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) claims seeking injunctive relief. If any part of this provision is deemed illegal or unenforceable, neither Party will choose arbitration for any Dispute falling within that part. Instead, such Dispute will be decided by a court of competent jurisdiction listed for jurisdiction above, and both Parties agree to submit to the personal jurisdiction of that court.
